Terms of Service
This Terms of Service Agreement ("Agreement") is made and entered into as of May 1, 2024, by and between The Red Door Group LLC, DBA In To The Woods Rentals, a limited liability company organized and existing under the laws of the State of Ohio, with a principal place of business at 4575 Granview Rd, Granville, Ohio 43023 ("Company"), and you ("User").
WHEREAS, Company provides a website located at intothewoodsrentals.com (the "Website") and related services (collectively, the "Services") that allow Users to browse and book rentals for outdoor equipment; and
WHEREAS, User desires to access and use the Services;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Acceptance of Terms
By accessing or using the Services, User agrees to be bound by this Agreement and all applicable laws and regulations. If User does not agree to (or cannot comply with) this Agreement, User may not access or use the Services.
2. Modifications to Agreement
Company may revise this Agreement at any time by posting the revised terms and conditions on the Website. The revised terms and conditions will be effective immediately after they are posted. User is encouraged to review this Agreement periodically for any updates or changes. User's continued access or use of the Services following the posting of any revised Agreement constitutes User's acceptance of the revised Agreement.
3. User Accounts
In order to access certain features of the Services, User may be required to create an account ("Account"). User is responsible for maintaining the confidentiality of the Account password and for restricting access to the Account, and User agrees to accept responsibility for all activities that occur under the Account or password. User agrees to provide true, accurate, current, and complete information when creating the Account.
4. Use of Services
The Services are for User's personal and non-commercial use only. User shall not modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services. User shall not use the Services for any illegal or unauthorized purpose or activity.
5. User Content
User may submit content (such as reviews, ratings, or photos) to the Website ("User Content"). User grants Company a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, distribute, and translate User Content for the purpose of operating the Website and the Services. User represents and warrants that User has all rights and permissions necessary to grant the licenses granted in this Section.
6. Rental Policies
User agrees to comply with all of Company's rental policies, which may be found on the Website or provided to User at the time of booking. These policies may include, but are not limited to, terms regarding payment, cancellation, damage, and return of rental equipment.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
User agrees to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, expenses, liabilities, and costs (including reasonable attorneys' fees) arising out of or related to User's violation of this Agreement or User's use of the Services.
10. Term and Termination
This Agreement shall remain in full force and effect while User accesses or uses the Services. Company may suspend or terminate this Agreement or User's access to the Services at any time for any reason, with or without notice to User. User may terminate this Agreement by ceasing to access or use the Services.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.
12. Dispute Resolution
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration
